# MYJOURNEY TERMS OF USE **Effective Date:** September 10, 2026 These Terms of Use (“Terms”) govern access to and use of the MyJourney mobile application (iOS/Android), web application, websites, application programming interfaces (APIs), and related services (collectively, the “Services”) provided by **RSBB Group LLC**, doing business as **MyJourney** (“MyJourney,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services. --- ## 1. Organization-Sponsored Access & Multi-Tenant Provisioning MyJourney is a multi-tenant health engagement SaaS platform generally provided to end users through a participating healthcare practice, medical spa, weight-management clinic, employer, or other organization (“Organization”). Your Organization controls account provisioning, role assignments (e.g., Patient, Clinician, Med Spa Administrator), feature permissions, and access states. Your Organization may suspend, modify, or terminate your account access at any time in accordance with its policies and its Master Services Agreement (MSA) with RSBB Group LLC. These Terms govern your use of the MyJourney software platform. Separate organizational agreements, employment policies, or clinical agreements between you and your Organization may also apply. --- ## 2. Account Eligibility & Multi-Factor Security You may use the Services only if you are authorized by your Organization and legally permitted to enter into binding agreements. You agree to: - Provide accurate, current, and complete account information; - Maintain the strict confidentiality of your login credentials and multi-factor authentication (MFA/TOTP) keys; - Never share account credentials or access tokens with unauthorized persons; - Promptly report any suspected unauthorized access or security breach to `security@rsbbgroup.com` or your Organization administrator; - Use the Services exclusively through the accounts, roles, and API permissions assigned to you. You are responsible for all activity performed through your account to the maximum extent permitted by applicable law. --- ## 3. Medical Disclaimer & No Emergency Use ### Software Platform Only MyJourney is a technology and health engagement software platform. Unless explicitly stated otherwise for a specific clinical feature, **RSBB Group LLC does not provide medical diagnoses, clinical treatment, medical advice, or emergency healthcare services.** Health measurements, medication schedules, GLP-1 analytics, AI Coach check-ins, and progress logs displayed through the Services are information tools. They should never replace professional medical judgment, diagnosis, or treatment by a qualified healthcare provider. Always consult an appropriate physician or healthcare professional regarding clinical decisions or medical care. ### No Medical Emergency Use **DO NOT USE MYJOURNEY FOR MEDICAL EMERGENCIES.** If you are experiencing a medical emergency, immediately call **911** (or your local emergency response number) or go to the nearest hospital emergency room. --- ## 4. Permitted Use & Security Rules You agree to use the Services only for lawful purposes in accordance with these Terms and your Organization's authorization. You shall **NOT**: - Attempt to gain unauthorized access to any user account, tenant environment, database, network, or server; - Circumvent or bypass authentication mechanisms, tenant isolation controls, rate limits, or access controls; - Perform unauthorized security probing, vulnerability scanning, automated penetration testing, or reverse-engineering; - Introduce viruses, malware, logic bombs, or destructive code into the platform; - Use automated scraping, bots, or unauthorized data extraction tools outside of authorized API interfaces; - Interfere with, disrupt, or overload the security, integrity, or real-time service infrastructure; - Impersonate another user, clinician, or administrator; - Upload content that infringes upon intellectual property rights, privacy rights, or applicable laws. --- ## 5. User Content & De-Identified Data Rights ### User Content Ownership & Limited License You or your Organization retain ownership of data, photos, health logs, communications, and measurements submitted through the Services (“User Content”). You grant RSBB Group LLC a limited, worldwide, non-exclusive license to host, transmit, process, format, and display User Content solely to operate, secure, support, and maintain the Services, or as required by law. When User Content constitutes Protected Health Information (PHI) under HIPAA, our handling of such data is further governed by the applicable Business Associate Agreement (BAA) and Privacy Policy. ### De-Identified Data and Aggregated Analytics Consistent with the MyJourney Privacy Policy, applicable Business Associate Agreements (BAAs), customer agreements, and any required written authorizations, RSBB Group LLC may create and use aggregated or de-identified data for internal service operation, security, quality, performance, product improvement, customer reporting, and analytics permitted by the applicable agreement. RSBB Group LLC will not externally publish, license, sell, commercialize, or disclose PHI-derived de-identified data to third parties, or use such data for external AI model training or evaluation, unless expressly authorized in writing by the applicable Organization and permitted by law. --- ## 6. Organization Control & Clinical Records If your account is provisioned by an Organization: - The Organization is the primary custodian or controller of health records maintained through the Services; - Authorized Organization personnel may inspect, export, modify, or restrict access to information associated with your account in accordance with role-based permissions; - The Organization may instruct us to retain, suspend, export, or delete user records subject to HIPAA retention rules; - Inquiries regarding medical treatment, clinical notes, or medical record releases must be directed to your Organization. --- ## 7. Intellectual Property Rights The Services—including software source code, mobile clients, service architecture, UI designs, APIs, trade secrets, logos, and documentation—are the exclusive property of RSBB Group LLC or its licensors and are protected by copyright, trademark, and intellectual property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services solely as authorized. No ownership rights in MyJourney technology are transferred to you. --- ## 8. Feedback If you submit suggestions, feature ideas, or feedback regarding the Services, you grant RSBB Group LLC an irrevocable, royalty-free, perpetual license to use, implement, and commercialize that feedback without restriction or compensation. --- ## 9. Third-Party Services & Integrations The Services rely on infrastructure and service providers, such as hosting, data storage, secrets management, payment processing, support, and AI-enabled features where enabled by an Organization. Third-party services are subject to their respective terms. RSBB Group LLC is not responsible for third-party services outside our direct operational control. --- ## 10. Service Availability & Modifications We continuously improve the platform and reserve the right to update, modify, or discontinue features of the Services. We do not guarantee uninterrupted or error-free availability. Contractual service-level agreements (SLAs) applicable to Organizations are governed by the Organization’s written Master Services Agreement (MSA) with RSBB Group LLC. --- ## 11. Disclaimers TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. --- ## 12. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RSBB GROUP LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION) ARISING FROM USE OF THE SERVICES. **ATTORNEY REVIEW REQUIRED:** Final risk allocation and liability caps should align with RSBB Group LLC’s Master Services Agreement (MSA) and commercial insurance coverage. --- ## 13. Indemnification To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless RSBB Group LLC from losses, damages, or claims arising from your intentional unlawful use of the Services, fraud, or material violation of these Terms. --- ## 14. Governing Law & Jurisdiction These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-law principles. Any legal action arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Ohio. --- ## 15. Changes to These Terms We may update these Terms from time to time. Material updates will be communicated by updating the effective date and providing notice where required by law. Continued use of the Services following an update constitutes acceptance of the revised Terms. --- ## 16.
